Contracts Management and Administration

With experience drafting, reviewing, negotiating, managing, and administering over 300 business, commercial, corporate, employment, technology, and e-commerce agreements, I have supported industries such as services, private equity, e-commerce, manufacturing, and technology. I ensured alignment with legal, regulatory, organizational, and industry standards. I have efficiently tracked contract lifecycles, overseen execution and renewal processes, and ensured compliance with terms through meticulous record-keeping, reporting, and the effective use of contract management systems.

Business Formations

Facilitated the formation and incorporation of over 80 LLCs, C-Corporations, and S-Corporations in key jurisdictions. This included filing and synthesizing formation and organizational documents, forms, resolutions, and compliance with state-specific requirements.

Equity Compensation and Stock Grants

Facilitated the implementation of more than 40 equity incentive plans, including stock option grants and stock award documentation for employees, consultants, and directors. This involved synthesizing equity plans, grant documents, corporate resolutions, requisite filings, and compliance with reporting obligations.

S.E.C. Form D for Exempt Offerings

Facilitated the filing of Form D for more than 25 private placements and exempt offerings in compliance with S.E.C. regulations under Regulation D. This included coordinating with issuers and investors to collect the necessary information, and submitting timely filings through the S.E.C.’s EDGAR (Electronic Data Gathering, Analysis, and Retrieval) filing management system.

Equity Restructuring

Assisted in the equity restructuring of over 15 companies, including the creation of new equity classes, reclassification and conversion of shares, and amendments to corporate charters and bylaws. This involved preparing and synthesizing the necessary corporate forms, documents, resolutions, shareholder agreements, filings, reporting, and compliance with state and federal laws.

Entity Conversions

Facilitated over 20 entity conversions, including transitions from LLC to Corporation and vice versa, across various U.S. jurisdictions. This involved preparing and synthesizing all requisite conversion documentation, organizational instruments, and corporate filings in compliance with the laws of the concerned states.

Litigation & Discovery Support

Legal Pleadings, Discovery Support, Case File Management, E-Filing, Document Review, Organization, and Management.

Supported attorneys and counsel in over 500 litigation matters by:

  • Preparing comprehensive litigation packets, including petitions, motions, complaints, and other legal pleadings tailored to each case's unique needs.

  • Drafting and responding to discovery requests to obtain essential information for case development.

  • Organizing and managing incoming and outgoing discovery materials for thorough analysis and streamlined review.

  • Conducting detailed initial and ongoing reviews of case-related documentation to identify critical insights and ensure compliance with discovery obligations.

  • Ensuring the timely and accurate e-filing of court documents, maintaining procedures and timelines.

  • Facilitating seamless communication between attorneys, clients, opposing counsel, and court personnel to keep cases on track and ensure clarity at every step.

Equity and Cap Table Administration

Comprehensively facilitated the equity and cap table administration for over 30 companies, including startups and established companies with complex equity structures, utilizing cap table software such as Carta and Eqvista. This involved creating & updating cap tables, administering the issuance & transfer of shares, stock option grants & stock awards, managing vesting schedules, maintaining accurate records of shareholder ownership, facilitating the conversion of shares, and ensuring proper documentation and compliance while demonstrating expertise in cap table platforms such as Carta and Eqvista.

A little about me

No glitter, no glamor, no shine. My journey began raw and on the grind, and continued through grit and sweat.

In the initial years, I pored over case files with a senior litigation counsel and later assisted a judge at the Delhi High Court. I learned the importance of precision and clarity—principles that have guided every document I’ve crafted or analyzed since.

At Thomson Reuters, I dove deep into commercial and technology contracts, uncovering what truly drives agreements—aligning intentions and making them sing on paper.

I then supported Indian and U.S. law firms with litigation, drafting pleadings, handling discovery, and completing court filings.

My path next took me to a Chicago business and corporate law firm, where I drafted and reviewed contracts, facilitated business formations, corporate governance, and compliance, and supported litigation.

I also completed a diploma in advanced contract drafting, negotiation, and dispute resolution, and a certification in corporate governance and compliance, adding depth to my proficiency in supporting people.
